III. NONRESPONDENT PARTICIPANTS 16. At all relevant times, George Kozmetsky (ÒKozmetskyÓ) was a controlling shareholder of UFG. Kozmetsky was a member of UFG's Board of Directors from May 26, 1983 to December 30, 1988. 17. At all relevant times, Stanley Rosenberg ("Rosenberg") was a shareholder in UFG owning 6,000 shares and a director and shareholder of MCO and its successor MAXXAM. Rosenberg was a long-time business associate of Hurwitz. Rosenberg and Hurwitz had reciprocal financial ties. In late 1988 and 1989 Hurwitz arranged, through Federated, a $500,000 loan to Rosenberg plus an option for an additional $1 million loan in order to help Rosenberg salvage his deteriorating real estate investments. During the same time, Rosenberg conducted an intensive lobbying effort on behalf of Hurwitz with the MAXXAM Board which resulted in the award of an $8 million bonus to Hurwitz. 18. At all relevant times, Drexel Burnham Lambert, Incorporated (ÒDrexelÓ) was a Delaware corporation engaged in the business of investment banking directly or through one or more subsidiaries or affiliates. Drexel acted as the agent of MCO and Federated in the aggregation and acquisition of approximately 600,000 shares of UFG stock, which Drexel purchased in the open market and resold privately to MCO or Federated during the period May 1982 through June 29, 1983. After June 29, 1983, Drexel also acquired an additional approximately 10 percent of the outstanding common shares of UFG. At all relevant times, Drexel was acting in concert with MCO, Federated, Hurwitz and Kozmetsky to assist them obtain control of UFG and USAT. Drexel was a savings and loan holding company within the meaning of former 12 U.S.C. ¤ 1730a(l)(D) (repeated by FIRREA) and U.S.C.A. ¤ 1467a(a)(1)(D) (West Supp. 1994). Whenever this Notice of Charges alleges Drexel's knowledge or doing of any act, the allegation shall be deemed to include any matter known to, or any action taken by, Drexel or any of its subsidiaries of affiliates or any of their officers, directors, employees, or agents.
